1. Acceptance of Terms
By accessing or using the website ushboundmx.com (the "Site") or by engaging the services of Ushbound MX, you agree to be bound by these Terms of Service. If you do not agree to these terms, you should not use the Site or engage our services.
These Terms of Service govern the relationship between Ushbound MX (hereinafter "we," "us," or "the Company") and any individual or organization ("you" or "the Client") that accesses the Site or engages our consulting services. The Company is based at Colonia, C. 3, Centro, Xalapa, Veracruz, Mexico.
2. Description of Services
Ushbound MX provides operational consulting services for production and consumer cooperatives registered or seeking registration in Mexico. Our services include:
- Organization and facilitation of constitutive and ordinary assemblies.
- Drafting of constitutive acts (actas constitutivas) in accordance with the Ley General de Sociedades Cooperativas.
- Preparation and filing of registration documentation for the Registro Nacional de Cooperativas (RNGC).
- Design and drafting of internal regulations (reglamento interno).
- Elaboration of the annual social balance report (balance social anual).
- Ongoing administrative accompaniment and operational support.
Ushbound MX does not provide financial services, credit, loans, investment advice, or any form of financial intermediation. These services fall entirely outside the scope of our operations.
3. Informational Nature of Website Content
The content published on this Site, including reference documents, guides, and informational articles, is provided for general informational and educational purposes only. It does not constitute legal advice, and no attorney-client or consultant-client relationship is established by accessing this content.

4. Consulting Engagements
Consulting engagements between Ushbound MX and a Client are established through a separate written agreement that specifies the scope of work, deliverables, timelines, and applicable fees. These Terms of Service apply to all such engagements in addition to any specific agreement.
The Client is responsible for providing accurate and complete information necessary for the delivery of consulting services. Ushbound MX is not responsible for errors or delays resulting from inaccurate or incomplete information provided by the Client.
Scope Limitations
The scope of each engagement is defined in the applicable written agreement. Services outside that scope require a separate agreement or amendment. Ushbound MX does not undertake work outside its defined operational consulting scope, including financial services of any kind.
5. Intellectual Property
All content on this Site, including text, graphics, logos, and design elements, is the property of Ushbound MX or its content providers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without prior written permission.
Documents prepared by Ushbound MX as part of a consulting engagement become the property of the Client upon full payment of applicable fees, subject to the terms of the relevant engagement agreement. Ushbound MX retains the right to use anonymized and aggregated information for internal purposes.
6. Limitation of Liability
To the extent permitted by applicable law, Ushbound MX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, including but not limited to delays in government registration processes, decisions made by third parties such as the RNGC, or outcomes of cooperative operations.
Our total liability for any claim arising from a consulting engagement shall not exceed the amount paid by the Client for the specific services giving rise to the claim. This limitation does not apply to liability arising from gross negligence or willful misconduct.
7. Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of the United Mexican States and the State of Veracruz. Any dispute arising from these terms or from a consulting engagement shall be subject to the jurisdiction of the competent courts of Xalapa, Veracruz, Mexico, and the parties waive any other jurisdiction to which they might be entitled by reason of their present or future domicile.
Before initiating formal proceedings, the parties agree to attempt resolution through direct negotiation for a period of thirty calendar days from the date the dispute is first raised in writing.
8. Modifications and Contact
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to the Site with an updated date. Continued use of the Site or our services after changes are posted constitutes acceptance of the modified terms.
